Who We Work With

We work closely with our clients in a range of fields to develop comprehensive legal solutions tailored to their precise needs.

Nonprofit Organizations
Our nonprofit clients include educational institutions, religious organizations, private foundations, mental health facilities, museums, sports associations, and community foundations, among others.  Our clients fulfill a variety of charitable purposes, including community economic development, children’s welfare, health, anti-poverty, veterans, and animal rights.  Whether our clients are serving the needs of a local community or seeking to make a global impact, we serve as a single trusted source to handle all of their legal needs in an efficient, intelligent, and cost-effective manner.

Professional Fundraisers and Fundraising Consultants
We represent individuals and companies that assist nonprofit organizations in carrying out fundraising campaigns.  Professional fundraisers, who directly solicit contributions (i.e., telephone solicitors), and fundraising consultants (i.e., direct mail consultants), who advise clients on their fundraising campaigns are all subject to registration and regulatory compliance requirements in every state in which fundraising activities are conducted. We advise these clients on all nonprofit fundraising registration and compliance requirements so they can focus on helping their clients raise funds.

Cause-Marketing Partners (Commercial Co-Venturers)
We represent companies seeking to promote the sale or use of their goods or services while benefiting a charitable organization or cause.  These cause-related marketing campaigns (also known as commercial co-ventures) are subject to registration, contract, and disclosure requirements in many of the states in which the campaign is promoted, and have potential federal tax implications on the beneficiary nonprofit as well.  We help these clients understand and comply with all applicable federal and state regulations, follow industry best practices, and ensure they are properly registered where necessary.

Joint Ventures
Joint ventures between two nonprofits or between nonprofit and for-profit businesses must comply with the specific legal requirements of both parties.  With our expertise in business law and nonprofit law we structure these “hybrid” entities to operate successfully while fully complying with all state and federal regulations.  Having handled many of these engagements, we are also fully equipped to anticipate issues created by the new and growing technologies such as the Internet. We work with our clients and federal agencies to address unique issues as new technologies emerge.

Social Enterprise Businesses
These mission-driven, for-profit companies may understand business, but they often need our help navigating the relevant regulatory requirements, including governance rights and obligations and mission priority. They seek to accomplish business and social objectives at the same time; we advise our clients on how the various laws governing businesses and tax-exempt organizations interact. As a pioneer in social enterprise law, we work closely with our clients and their counsel to develop innovative business models while ensuring compliance with all legal requirements.
