Attorneys
Perlman & Perlman currently has seven practicing
attorneys. Although we are not large in number, we represent some of
the most prestigious and influential charitable institutions in the
United States and abroad, and many of the most successful for-profit
fundraisers, including direct mail houses, telemarketers and other
fundraising professionals. The nature of our practice demands that
we understand and advise on a variety of challenging legal issues.
We have vast experience in structuring and documenting numerous
types of transactions, litigating in federal and state courts,
advocating in alternative dispute resolution forums, including
mediation and arbitration. Each of our attorneys participates in bar
association committee activities where we contribute to the
evolution of the law and stay abreast of the cutting edge issues
which affect our clients. Most notably, we have a voice on the
American Bar Association's Tax Exempt Organization's Committee, the
Association of the Bar of the City of New York's Nonprofit
Organization's Committee, the Nonprofit Coordinating Committee's
Government Relations Committee and the New York County Lawyers'
Non-Profit Organizations Committee. In addition, because of our
expertise, our attorneys are frequent lecturers and presenters in
Continuing Legal Education seminars. All of this enables us to
provide invaluable counsel within our fields.
BERNARD PERLMAN (1922-1991) received his J.D. from
Brooklyn Law School and was admitted to the New York Bar in 1954. In
addition to being the first person in the country to be charged with
overseeing charitable activities on behalf of the government, he
also lectured and wrote widely on the subject of nonprofit
organizations and charitable solicitation laws.
SETH PERLMAN is the senior partner at Perlman &
Perlman, LLP. He holds a B.S. from Beloit College and a J.D. from
the University of Houston. He is a frequent commentator and lecturer
on issues affecting the nonprofit sector. Mr. Perlman has litigated
in numerous state and federal jurisdictions on issues relevant to
the philanthropic community and is special counsel for the
Association of Fundraising Professionals and the Direct Mail
Fundraising Association. As lead counsel for The American Charities
for Reasonable Fundraising Regulation, he successfully litigated a
constitutional suit seeking to overturn the fundraising regulatory
scheme in Pinellas County, Florida. He has worked with the Hungarian
Government on the formation of its nonprofit sector and has been
invited by Congress and State governments to advise them on issues
relevant to the philanthropic sector. Mr. Perlman currently holds
an International Board position with the INTERNATIONAL ASSOCIATION
FOR MEDICAL ASSISTANCE TO TRAVELERS in Canada, the INTERNATIONALE
STICHTING ALZHEIMER ONDERZOEK in The Netherlands, STICHTING voor
ALZHEIMER ONDERZOEK in Belgium, ALZHEIMER FORSCHUNG INITIATIVE e.V.
in Germany and is the Chairman of the Board of the LIGUE
EUROPEENNE CONTRE la MALADIE d’ALZHEIMER in France. Mr. Perlman
also serves a General or Special Counsel to numerous nonprofits and
business entities involved in philanthropy.
CLIFFORD PERLMAN, a partner at Perlman & Perlman,
has been advising nonprofit organizations for more than 15 years.
He is a frequent lecturer and has authored articles pertaining to
both public charities and private foundations, as well as issues
relating to the Internet and relationships between for-profit
entities and charities. Mr. Perlman sits on the Board of numerous
public charities and private foundations, both domestic and
foreign. He holds a B.A. from the University of Wisconsin - Madison
and a J.D. from the City University of New York. He came to the
firm after a clerkship writing judicial opinions for the Appellate
Division of the Supreme Court of the State of New York. He is an
experienced litigator and appellate author. Mr. Perlman has
served on the American Bar Association Exempt Organizations
Subcommittee, Association of the Bar of the City of New York
Committee on Nonprofit Organizations, and the Subcommittee on
Disaster Relief Coordination, which was formed to address the issue
of donations for victims of the September 11th attacks on the World
Trade Center and the Pentagon. He currently sits on the Boards of
the American Chai Trust, Gabriel’s Angel Foundation for Cancer
Research and the Our Time Theatre Company. He also sits on the
Board of three (3) cancer research charities in France and Germany.
His clients include large pubic charities, private foundations and
Fortune 500 companies (with respect to their dealings with nonprofit
organizations).
ALLEN R. BROMBERGER, a partner at Perlman & Perlman,
has more than 20 years of experience representing nonprofit
organizations, charities, and private foundations in a wide variety
of business matters and transactions. A member of Who’s Who in
American Law and Who’s Who in America, Mr. Bromberger is the author
of Getting Organized and
Advising Nonprofits, two widely used books
on nonprofit formation and operation. He is also the author of
numerous articles on nonprofit legal matters, and is a frequent
lecturer and speaker on nonprofit legal issues. Prior to joining
Perlman & Perlman, Mr. Bromberger served as president of Power of
Attorney, a private operating foundation located in New York City,
and before that was executive director of Lawyers Alliance for New
York, a public interest law firm devoted exclusively to meeting the
legal needs of nonprofit and community development organizations.
Mr. Bromberger has served on numerous public and private boards and
committees and is currently an advisor to Corporate Counsel
magazine. He holds a B.A. from the University of California/Berkeley
(1977) and a J.D. from the University of California/ Hastings
College of the Law (1982). Mr. Bromberger is admitted to practice in
both New York and California.
BARBARA J. NAGEL, Of Counsel at Perlman & Perlman,
has been practicing law for over 25 years. For much of that time,
Ms. Nagel served on the senior management committee and as general
counsel of a $1 billion privately-held group of companies covering
more than 15 industries, including real estate and venture capital.
Ms. Nagel took a two-year leave from traditional law practice to
work in the non-profit sector as executive director of a community
development agency and director of development for a nationally
recognized film arts organization. She joined Perlman & Perlman in
2008 and advises corporate and non-profit organizations in a variety
of transactional and governance matters, including joint ventures
and public-private partnerships. Ms. Nagel received a B.A. from the
State University of New York College at Cortland and a J.D. from the
Benjamin N. Cardozo School of Law. Ms. Nagel is a former president
of the National Association of Women Business Owners – New York
City, and serves on a number of foundation, non-profit, and advisory
boards.
KAREN I. CHANG holds a
B.A., cum laude, in Political Science and Linguistics from Wellesley
College and a J.D. from Brooklyn Law School, where she served as an
Executive Note and Comment Editor for the Journal of Law and Policy.
Prior to joining Perlman & Perlman, she served as a law intern with the New York State Attorney
General’s Charities Bureau. Ms. Chang is co-author (with Seth
Perlman) of articles relating to the regulation of
internet fundraising and
cause-related marketing, published in the Nonprofit Times.
Ms. Chang is a board member of the New York City chapter of The Christian Legal Society,
and is a member of the Asian American Bar Association of New York.
Ms. Chang is admitted to the bar in New York and New Jersey.
 CATHERINE
C. OETGEN earned her B.A. in English from Northwestern University in
1999 and her J.D. from Brooklyn Law School in 2006. She served as a
law intern with the New York Attorney General’s Charities Bureau and
as a summer associate with Goldman Sachs in 2004 and Volunteer
Lawyers for the Arts in 2005. Ms. Oetgen’s recent published articles
include “How Much is Too Much? Participation in Political Activities
by Nonprofits” (Nonprofit Times, November 2007) and
“Conflicting Interests: Practical Tips on What to Do and How to Do
It” (Nonprofit Times, November 2008). Ms. Oetgen is also co-author
of a chapter on legal issues facing volunteer board members in
Governance for Health Care Providers: The Call to Leadership
(Productivity Press, December 2008). She is a member of the New York
City Bar Association’s Nonprofit Organizations Committee.
JENNIFER HU CORRIGGIO graduated from Cornell
University magna cum laude as a College Scholar with a B.A. and
focus in political theory and cultural anthropology, and earned both
a J.D. and L.L.M. in International and Comparative Law from Duke Law
School. Before coming to the firm, Jennifer practiced at the New
York law firms Simpson Thacher & Bartlett LLP and Kornstein Veisz
Wexler & Pollard LLP. She also taught as a Visiting Assistant Law
Professor at Florida Coastal School of Law. Jennifer is admitted to
the Bar in New York and Florida.
