Practice

Stephen Yosifon advises clients in the nonprofit and social enterprise sectors on corporate governance, federal tax law, transactions, intellectual property, and litigation.  As an active member of the firm’s litigation practice, Stephen has represented directors, voting members, private foundations, and public charities in a wide array of internal governance disputes and regulatory enforcement actions in multiple states.

Stephen also has extensive experience working within nonprofit organizations.  Prior to joining the firm, he worked in the General Counsel’s Office of Public Health Solutions, one of New York City’s largest nonprofits.  Stephen has also held program positions at the John F. Kennedy Presidential Library and Museum, the Gay Lesbian Straight Education Network, Saint Augustine Ministries, and the Center for Reproductive Rights.

Representative Work
  • Represented members of the American Psychoanalytic Association in successful appellate litigation against the Association to enforce bylaws in a novel corporate governance dispute.   Cited as Decision of Interest in New York Law Journal, Vol. 250; No. 76.  See Ascherman v. American Psychoanalytic Assn., Inc., 116 A.D.3d 626.
  • Conducted substantial corporate investigation of self-dealing and taxable expenditures in a private foundation, and drafted final report to trustees analyzing tax consequences, corrective action, and IRS disclosure.
  • Represented Baruch College Alumni Association in negotiations with Baruch College, resulting in formal memorandum of understanding regarding shared services, fundraising, and communications.
  • Represented United Service Organizations in adversary proceeding against judgment debtor in Eastern District of New York Bankruptcy Court.
